1. Introduction

Welcome to CodersHive ("Company", "we", "our", "us"). These Terms and Conditions govern your use of our website and services related to international business expansion, including but not limited to company incorporation, cross-border payment setup, global infrastructure development, and international marketing services.

By engaging our services, you agree to be bound by these Terms and Conditions. Please read them carefully before proceeding.

2. Services Offered

CodersHive provides the following global expansion services:

  • International Incorporation: Assistance with company formation in the United States (Delaware LLC/C-Corp), United Kingdom (Ltd), United Arab Emirates (Free Zone), and Singapore (Pte Ltd).
  • Cross-Border Payments: Setup and integration of international payment gateways including Stripe, Razorpay International, Airwallex, and Xflow.
  • Global Infrastructure: E-commerce development (Shopify, Webflow), multi-currency configuration, and logistics integration.
  • International Marketing: Global SEO, localized PPC campaigns, and cultural branding services.

3. International Consulting Fees and Payment Terms

  • All fees are quoted in Indian Rupees (INR) unless otherwise specified.
  • For international clients, fees may be quoted in USD, GBP, AED, or SGD based on the target market.
  • Payment terms are Net 15 from invoice date unless otherwise agreed in writing.
  • We accept payments via bank transfer (NEFT/RTGS), international wire transfer, credit/debit cards, and approved payment gateways.
  • A minimum 50% advance payment is required before commencement of any incorporation or major project work.
  • Exchange rate fluctuations between quote date and payment date may result in adjusted final amounts for international currency payments.

4. Third-Party Gateway and Service Provider Liabilities

Our services involve facilitation and setup of various third-party platforms and services. Please note:

  • Stripe Atlas: CodersHive acts as a facilitator. All Stripe Atlas terms, conditions, and fees are governed by Stripe's policies. We are not liable for Stripe's approval decisions or policy changes.
  • Razorpay, Airwallex, Xflow: These platforms have their own terms of service. Account approval, transaction limits, and fees are subject to their respective policies.
  • Incorporation Services: While we facilitate company formation through partners like Firstbase and Sleek, government registration timelines and requirements are outside our control.
  • Third-party fees (government filing fees, registered agent fees, platform subscription fees) are separate from our consulting fees and are non-refundable through us.

5. Jurisdictional Clauses

  • These Terms are governed by the laws of India, with exclusive jurisdiction in the courts of Mumbai, Maharashtra.
  • For services rendered in international jurisdictions (US, UK, UAE, Singapore), local laws may apply to specific aspects of service delivery.
  • Clients are responsible for ensuring their use of our services complies with laws in their home country and target markets.
  • Tax obligations arising from international business activities remain the sole responsibility of the client.

6. Currency and Exchange Rate Provisions

  • Quotes in foreign currencies are valid for 7 days from the date of quotation.
  • Exchange rates used for conversion are based on prevailing market rates at the time of payment.
  • Clients opting to pay in currencies other than the quoted currency assume all exchange rate risks.
  • For recurring services, rates may be adjusted quarterly based on exchange rate movements exceeding 5%.

7. Cross-Border Service Delivery Terms

  • Services are delivered remotely unless in-person meetings are specifically agreed upon.
  • Communication will primarily be conducted in English via email, video conferencing, and messaging platforms.
  • Turnaround times are estimates and may vary based on third-party government agency processing times.
  • Clients must provide accurate and complete documentation as requested. Delays in documentation submission will affect project timelines.
  • Time zone differences will be accommodated for meetings, with IST (Indian Standard Time) as the default reference.

8. Intellectual Property

All intellectual property created as part of our services (excluding client branding and content) remains the property of CodersHive until full payment is received. Upon payment, agreed deliverables are transferred to the client.

9. Confidentiality

We maintain strict confidentiality of all client information. Client data shared for incorporation, payment setup, or other services will only be used for the stated purposes and shared with necessary third-party service providers.

10. Limitation of Liability

CodersHive's liability is limited to the fees paid for the specific service in question. We are not liable for indirect, consequential, or incidental damages, lost profits, or business interruption arising from our services.

11. Amendments

We reserve the right to update these Terms and Conditions. Continued use of our services after changes constitutes acceptance of the updated terms. Significant changes will be communicated via email to active clients.
